Welcome to Skyrise Digital, LLC (“Skyrise Digital,” “we,” “our,” or “us”). By signing up for or using the AdPilot platform (the “Software”), you (“Customer,” “you,” or “your”) agree to the following terms. Please read them carefully.

1. Platform Access & Subscription

By purchasing a subscription to AdPilot, you are granted a limited, non-exclusive, non-transferable right to access and use our advertising software and related tools for your own business advertising purposes. Your subscription includes access to:

• Campaign launch tools for Facebook, Instagram, and Google

• Ready-made ad templates and prebuilt campaigns (based on availability)

• Lead tracking and CRM functionality

• Platform analytics and reporting

• Optional onboarding and demo call services

Your subscription does not include ad spend, which is billed separately by Meta or Google based on your budget and ad settings.

You are responsible for creating and managing your own Meta and/or Google ad accounts, connecting a valid payment method for ad spend, and maintaining an active business profile on those platforms. Skyrise Digital does not create ad accounts, configure billing, or set up Facebook Pages on your behalf.

Platform Access & Data Visibility:

You acknowledge and agree that Skyrise Digital, LLC, as well as the third-party technology provider that powers the AdPilot platform, has access to and may view any and all content within your AdPilot account. This includes, without limitation, media files, contacts, ad campaigns, campaign metrics, communications, and all other data stored or transmitted through the platform. Such access is used solely for the purposes of providing, maintaining, and supporting the platform.

All rights, title, and interest in AdPilot, including its software, design, trademarks, and content, remain the sole property of Skyrise Digital, LLC and its licensors. Your subscription does not convey any ownership or intellectual property rights.

Platform features may change over time without prior notice.

2. Ad Spend Disclaimer

All ad spend is handled directly through your connected advertising accounts (e.g., Meta Ads Manager, Google Ads). You are fully responsible for any costs incurred through those platforms.

We do not charge per lead and have no control over how much you spend. You are solely responsible for setting, monitoring, and managing your own advertising budgets.

Skyrise Digital, LLC does not warrant that any particular ad will be approved by advertising platforms, achieve a specific cost per result, or remain available for a given audience or placement.

3. No Guarantee of Results

AdPilot is designed to help businesses launch ad campaigns efficiently, but we do not guarantee specific results. Campaign performance can vary based on industry, budget, targeting, location, ad quality, competition, and other factors outside our control.

You acknowledge that advertising outcomes are inherently unpredictable, and Skyrise Digital, LLC is not liable for performance variations, unmet expectations, lack of results, or any business losses arising from use of the Software.

4. Business Types & Ad Templates

AdPilot offers ready-to-use templates for many common industries. However, not all businesses will have prebuilt campaigns available.

If you operate in a highly specific or niche industry, you may need to create or customize your own ad campaigns.

Misuse Disclaimer:

Skyrise Digital and AdPilot are not responsible for any misuse of templates—whether used as provided or modified—nor for any misuse of the Software itself. You are solely responsible for ensuring that all ads and campaigns comply with applicable laws, advertising platform policies, and ethical standards.

5. User Responsibilities

By using AdPilot, you agree to:

• Use your own ad accounts and business profiles responsibly

• Maintain accurate, up-to-date account and payment information

• Follow all advertising policies of Meta, Google, and any applicable regulators

• Ensure that your ad content, targeting, and claims comply with all applicable laws

You are solely responsible for the accuracy, legality, and compliance of your ads and campaigns.

Prohibited Commercial Use:

AdPilot is provided solely for your own business’s advertising purposes. You may not resell, sublicense, lease, rent, share, or otherwise provide access to AdPilot—whether in whole or in part—to any third party. You may not use AdPilot to offer “done-for-you” advertising services or manage ad campaigns on behalf of other businesses without the prior written consent of Skyrise Digital, LLC. Violation of this provision may result in immediate account termination without refund.

Support Scope:

Skyrise Digital provides technical assistance for using the AdPilot Software. We do not create ads for you, analyze campaign performance, or provide strategic advertising advice.

We reserve the right to limit, suspend, or remove access to specific features or functions within AdPilot—or terminate accounts entirely—if we determine, in our sole discretion, that your activity violates these Terms, applicable laws, or platform rules.

We reserve the right to suspend or terminate accounts that misuse AdPilot, violate platform rules, or breach these terms.

6. Cancellation & Refunds

If you wish to cancel your subscription, you must email [email protected] at least two (2) business days before your renewal date. Once processed, your access will remain active until the end of your billing cycle.

Except as expressly stated in these Terms, all subscription fees are non-refundable, including if you cancel before the end of your billing cycle. No prorated refunds are issued for unused time.

Billing Disputes:

By subscribing to AdPilot, you agree to contact Skyrise Digital, LLC directly to resolve any billing concerns before initiating a chargeback or payment dispute with your bank or payment provider. Unauthorized chargebacks may result in immediate account suspension.

Suspension or Termination:

Skyrise Digital, LLC reserves the right to suspend or terminate your access to the AdPilot platform at any time, for any reason, with or without notice. Reasons for termination may include, but are not limited to:

• Misuse or abuse of platform features

• Attempted exploitation of platform functionality

• Violation of advertising policies set by Meta, Google, or other platforms

• Failure to comply with these Terms of Use

• Engagement in fraudulent, deceptive, or unethical behavior

If your account is terminated by Skyrise Digital for reasons not related to your conduct, you will receive a prorated refund for the unused portion of your billing cycle.

Post-Cancellation Use of Templates:

If your subscription to AdPilot is canceled or terminated for any reason, you must immediately cease all use of any ad templates, media, text, or other content provided through AdPilot. Any continued use, reproduction, distribution, or adaptation of such materials after cancellation is strictly prohibited and may result in legal action, including but not limited to claims for damages and injunctive relief.

7. Technical Requirements

AdPilot is a web-based platform designed for use on desktop or laptop devices. A desktop or laptop is required to fully access ad campaign creation features. Access to the internet is required to use the platform.

While a mobile app is available, it is intended primarily for viewing leads and managing basic account functions.

8. Modifications to the Platform

We may update, modify, or remove features of AdPilot at any time. Pricing may also change with reasonable notice via email or in your account dashboard.

Modifications to These Terms:

We may update or modify these Terms of Use at any time by posting the updated version on our website and/or notifying you via email. Continued use of AdPilot after changes take effect constitutes your acceptance of the revised Terms.

9. Limitation of Liability

To the fullest extent permitted by law, Skyrise Digital, LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the AdPilot platform, including but not limited to lost profits, lost data, business interruption, or loss of goodwill. This includes, without limitation, any damages, losses, or disruptions caused directly or indirectly by the third-party provider that powers the AdPilot platform.

In no event shall our total liability to you for any and all claims, whether in contract, tort, or otherwise, exceed the total subscription fees you paid to Skyrise Digital, LLC in the one (1) month immediately preceding the event giving rise to the claim.

Nothing in this section limits liability for intentional misconduct, fraud, or gross negligence where such limitation is prohibited by applicable law.

10. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflicts of law principles. You agree to submit to the jurisdiction of Florida courts.

11. Mandatory Arbitration

Any disputes arising from these Terms or your use of AdPilot will be resolved by binding arbitration in Florida, under the rules of the American Arbitration Association. Class actions and jury trials are waived.

12. Third-Party Platform Dependency

AdPilot is powered by third-party technology provided by an independent platform vendor. While Skyrise Digital, LLC customizes, manages, and supports your experience, the core infrastructure, features, and underlying functionality are operated and maintained by this third-party provider.

As a result, certain features, performance, and availability may be impacted by technical issues, changes, downtime, or limitations originating with the third-party provider. Skyrise Digital, LLC has no control over and shall not be held responsible for any disruptions, errors, limitations, or losses caused directly or indirectly by the third-party provider’s systems, policies, or operations.

We will make every reasonable effort to address and resolve issues promptly, and to communicate any material updates that may affect your use of the platform.
